Terms of Service

1. Agreement to Terms

By accessing or using Canvex ("the Service"), operated by Canvex ("we", "us", "our"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

2. Description of Service

Canvex is a cloud-based virtual desktop platform that allows users to provision, access, and manage virtual desktops via web browsers and remote desktop clients. The Service includes desktop streaming, file storage, VPN connectivity, and related management tools.

3. Accounts

You must create an account to use the Service. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized access. We reserve the right to suspend or terminate accounts that violate these terms.

4. Free Trial

New accounts receive a free trial period. During the trial, full platform functionality is available. A valid payment method is required before you can create resources, but you will not be charged until the trial ends. If you do not subscribe before the trial expires, your desktops will be stopped and your data preserved for a limited grace period before deletion.

5. Billing and Payment

Paid plans are billed on a recurring basis (monthly or yearly) for the platform fee. Desktop compute usage is metered daily and billed at the end of each billing period based on resource allocation (CPU, RAM, GPU). All fees are in US dollars. Prices are subject to change with 30 days' notice.

You authorize us to charge your payment method for all fees incurred. If payment fails, we may suspend access to the Service until payment is resolved. Refunds are handled on a case-by-case basis.

6. Acceptable Use

Your use of the Service is subject to our Acceptable Use Policy, which is incorporated into these terms by reference. Violations may result in immediate suspension or termination.

7. Data and Privacy

Your use of the Service is also subject to our Privacy Policy. You retain ownership of all data you store on the Service. We do not access, review, or share your desktop contents except as required by law or to provide technical support at your request.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access on the Starter or Business plans. The Service may be temporarily unavailable for scheduled maintenance, upgrades, or circumstances beyond our reasonable control. Scheduled maintenance windows will be announced at least 48 hours in advance via the dashboard and, where reasonably possible, email notification.

Enterprise plans may include a written service-level agreement negotiated as part of the contract, specifying the committed uptime percentage, the calculation window, service-credit remedies, and exclusions (force majeure, scheduled maintenance, customer-caused unavailability). No uptime percentage is committed on Starter or Business; those tiers operate on a best-effort basis and remedies for downtime are limited to the prorated refund described in Section 5.

9. Intellectual Property

The Service, including its design, code, and documentation, is owned by Canvex and protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service. Your use of the Service does not grant you any ownership rights.

10. Limitation of Liability

To the maximum extent permitted by law, Canvex shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, revenue, or business opportunities, arising from your use of the Service. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Termination and Suspension

Customer-initiated cancellation. You may cancel your subscription at any time through the billing settings. Cancellation takes effect at the end of the current billing period.

Suspension by Canvex. We may suspend access to the Service for: (a) non-payment beyond 14 days past due, after a payment-failure notice and at least one retry attempt; (b) violation of the Acceptable Use Policy, with at least 48 hours' written notice except where immediate suspension is required to prevent ongoing harm (active abuse, malicious traffic, or content prohibited by law). Suspended accounts may request reinstatement at support@canvex.io within 30 days of the suspension notice.

Termination by Canvex. If a suspension is not resolved within 30 days, or where the underlying violation is uncurable, we may terminate the account. Upon termination, you will receive a final notice and a 30-day window to export desktop data and shared-drive contents before permanent deletion. Backup copies are purged within 90 days of termination.

12. DMCA / Copyright Infringement

Canvex complies with the Digital Millennium Copyright Act. If you believe content stored on or served through your virtual desktops infringes your copyright, submit a notice containing: (1) physical or electronic signature of the rights holder or authorized agent; (2) identification of the copyrighted work; (3) identification of the allegedly infringing material with sufficient detail to locate it (organization slug, desktop name or shared-drive path); (4) your contact information; (5) a statement under penalty of perjury that the complaint is made in good faith and that you are authorized to act.

Send notices to our designated agent at dmca@canvex.io. We will investigate within 5 business days, and where warranted, may disable access to the identified material. Repeat infringers' accounts may be terminated per Section 11. Counter-notice procedures conform to 17 U.S.C. § 512(g).

13. Changes to Terms

We may update these terms from time to time. Material changes will be communicated via email or in-app notification at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated terms.

14. Governing Law

These terms are governed by the laws of the State of Ohio, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Ohio.
